YPF toma el control de áreas clave de gas húmedo para sumar socios internacionales y potenciar las exportaciones de GNL bajo el esquema del RIGI
Pluspetrol mantenía la participación en las áreas Meseta Buena Esperanza, Aguada Villanueva y Las Tacanas en Vaca Muerta, desde 2014, cuando adquirió el 50% de dichos activos a la empresa estadounidense Apache. Estas áreas, linderas y situadas en Neuquén, eran operadas en asociación con YPF.
En tanto, en agosto de 2025, YPF había cerrado la adquisición del 45% de participación de la francesa TotalEnergies en los bloques La Esclonada y Rincón de la Cenica, también en Vaca Muerta, por aproximadamente US$ 500 millones, en una de las grandes operaciones de adquisiciones de la industria de 2025.
Este movimiento de swap era esperado en la industria, ya que forma parte del andamiaje necesario para sustentar el megaproyecto Argentina LNG, y con la consolidación de YPF en estas áreas se produce tras el acuerdo marco sellado con la italiana Eni y la emiratí ADNOC.
Por qué YPF necesitaba las nuevas áreas
El objetivo final es acondicionar estos tres yacimientos para permitir el ingreso de los capitales internacionales al segmento del upstream que apuntalen las millonarias inversiones requeridas para exportación de 12 millones de toneladas anuales (MTPA) de GNL, a través de dos barcazas luciefactoras en las costas de Río Negro.
La hoja de ruta de la compañía ya contemplaba esta necesidad cuando Marín vinculó el desarrollo exportador de gas natural licuado a la llegada de socios globales. El control total de Aguada Villanueva, Las Tacanas y Meseta Buena Esperanza permitirá a la petrolera de bandera negociar con la italiana Eni su entrada directa como operadora o socia.
Esta operación facilitará la participación y el financiamiento de una infraestructura que demandará, en principio, unos u$s16.000 millines ademas de otros u$s12.000 millones en el desarrollo de áreas no convencionales de gas húmedo, como los tres bloques en cuestión, tal como estimó Marín por entonces.
Un factor determinante en esta reconfiguración fue el cambio de enfoque técnico sobre el tipo de recurso a explotar. Si bien originalmente se proyectaba el uso de gas seco, técnicos de Shell y Eni señalaron a YPF que la viabilidad económica del proyecto mejoraba sustancialmente al trabajar con “gas húmedo”.
La riqueza del shale gas de Vaca Muerta
Estas áreas, ahora bajo control de YPF, poseen yacimientos ricos en condensados y líquidos que optimizan la rentabilidad de la operación, lo que permitirá un negocio adicional al GNL con la producción y exportación de productos de exportación como metano, etano, propano, butano y gasolina.
Para que este esquema sea plenamente funcional, la industria logró del gobierno la adecuación regulatoria del Régimen de Incentivo de Grandes Inversiones (RIGI) que permita incluir al “gas húmedo” dentro de los beneficios tributarios y aduaneros, un paraguas que se extendió a todas las operaciones de upstream de gas y petróleo.
Desde la perspectiva técnica, las áreas transferidas ofrecen un potencial diverso. Mientras Las Tacanas se posiciona con fuerza en la ventana de gas, bloques como Aguada Villanueva y Meseta Buena Esperanza aportan la riqueza de los líquidos asociados. Esta combinación es la que terminó por inclinar la balanza para que YPF decidiera absorber la parte que pertenecía a Pluspetrol en dichos activos.
Con esta firma, la Argentina da un paso firme hacia su consolidación como exportador global de energía. La salida total o parcial de Pluspetrol de estos bloques estratégicos despeja el camino para que los nuevos jugadores internacionales se asienten en la Cuenca Neuquina, asegurando el suministro necesario para las 12 millones de toneladas anuales de GNL que el país proyecta vender al mundo.
